Website Hosting Terms

These terms apply to website hosting services provided by SEEDO Media Ltd (“SEEDO”, “we”, “us” or “our”). They are intended to explain clearly what is included with our standard website hosting service and the responsibilities of both SEEDO and the client.

Where additional services have been agreed separately, such as a Website Care Plan, email hosting, domain management or development work, additional terms or charges may apply.

1. Hosting Service

Unless otherwise agreed, website hosting is provided for a fixed period of 12 months and is paid annually in advance.

We will normally send a renewal invoice at least 14 days before the end of the current hosting period. Continued hosting is subject to payment of the renewal invoice.

Alternative arrangements, including monthly or custom hosting, may be agreed separately.

Our standard hosting service normally includes:

  • hosting of the agreed website;
  • SSL certificate using Let’s Encrypt or an equivalent service;
  • regular website backups;
  • additional server-level backups for disaster recovery;
  • routine WordPress core and plugin updates where we manage the WordPress installation;
  • priority installation of important security updates where appropriate; and
  • basic website availability monitoring.

The exact service may vary where a website has different technical requirements.

2. Backups

For WordPress websites we manage, we normally take a database backup each day and a full website backup each week.

Where a website changes frequently, a different backup schedule, including daily full backups, may be agreed.

Additional server-level backups are maintained for disaster recovery purposes.

While we take reasonable precautions to maintain reliable backups, no backup system can be guaranteed to be complete or error-free. Backups should therefore not be regarded as a guaranteed permanent archive of website content.

If a hosted website becomes unavailable or compromised, we will investigate and, where appropriate, attempt to restore it from a suitable available backup.

Where a problem results from our hosting infrastructure, we will take reasonable steps to restore the service.

Where recovery is required because of changes or actions made by the client, their staff, another developer or another third party, additional investigation or recovery work may be chargeable. We will normally discuss this with the client before carrying out chargeable work.

3. WordPress Updates and Security

Where applicable, we routinely maintain the WordPress installation and normally review and apply core and plugin updates on a weekly basis.

Important security updates may be applied sooner where we consider this appropriate.

No website or hosting environment can be guaranteed to be completely secure. If we become aware of a security problem affecting a hosted website, we will take reasonable steps to investigate and discuss the appropriate course of action with the client.

If a wider problem affects our hosting infrastructure, we will take appropriate steps to restore and secure the affected services.

Substantial work required because of client changes, compromised passwords, third-party access, unsupported software or other matters outside our reasonable control may be chargeable.

4. Availability and Monitoring

We use basic monitoring to identify website availability problems and take reasonable steps to provide a reliable hosting service.

We do not provide a guaranteed level of uptime unless this has been specifically agreed in writing.

Temporary interruptions may occasionally occur because of maintenance, software updates, technical faults, network problems or circumstances outside our reasonable control.

Monitoring does not constitute a 24-hour support or response service.

5. Website Changes and Support

Standard website hosting does not include ongoing content changes, website development, SEO, reporting or general website support unless specifically agreed.

Small changes or support may occasionally be provided at our discretion or as part of an individual arrangement, but this does not make such work part of the standard hosting service.

Clients who require ongoing website management and support may be offered a separate Website Care Plan.

Work outside the hosting service or an agreed Care Plan will normally be quoted or charged separately.

6. Domains

Where requested, SEEDO can register and manage domain names on behalf of clients. Domain registration and renewal are separate from website hosting unless specifically stated otherwise.

Domain registrations are subject to the terms and policies of the relevant domain registry and registrar.

The client remains responsible for paying domain renewal charges when due. We are not required to renew a domain using our own funds where the client has not paid the relevant renewal invoice.

Where we manage a domain for a client, we will cooperate with a reasonable request to transfer its management to another provider, subject to any applicable registry procedures and settlement of relevant charges.

Clients should be aware that failure to renew a domain can ultimately result in the domain becoming unavailable and potentially being registered by somebody else.

7. Email and Other Services

Email hosting, Microsoft 365, Google Workspace, transactional email services and other email-related services are not included with standard website hosting unless specifically stated.

Where we provide or manage these services, charges and third-party terms may apply separately.

If a client moves their website or services elsewhere, we can advise on the practical steps required to move associated email services. Migration or configuration work may be chargeable.

8. Software and Licences

Some websites use commercial themes, plugins or other third-party software.

Licences for these products are arranged on a client-by-client basis and may be included, separately charged or held directly by the client.

Where a website moves away from SEEDO hosting, any software licences supplied by SEEDO should not be assumed to transfer with the website. We will explain any relevant licensing requirements when arranging a transfer.

9. Payment and Late Payment

Hosting invoices must be paid in full on or before the due date shown on the invoice.

If an invoice remains unpaid, we will normally send reminders and make reasonable attempts to contact the client.

Where payment remains outstanding for 14 days after the due date, we reserve the right to suspend the website and any associated services covered by the unpaid invoice.

Suspension does not cancel the amount owed.

A suspended hosting service can normally be reactivated within 30 days, provided all outstanding invoices and any reasonable costs incurred in restoring or reactivating the service have been paid.

If payment has still not been received after this period, we may remove the website from the live hosting environment and retain an archived copy where reasonably practical. We do not guarantee that archived copies will be retained indefinitely.

For qualifying business-to-business debts, we reserve the right to charge statutory interest and applicable debt recovery costs under UK late-payment legislation.

10. Cancellation and Moving to Another Provider

Hosting is normally purchased for a 12-month period and continues until the end of the period already paid for unless otherwise agreed.

If a client wishes to cancel during the hosting period, fees already paid are normally non-refundable. In appropriate circumstances we may, at our discretion, agree a partial refund after deducting costs already incurred and a reasonable administration charge. This does not affect any statutory rights that may apply.

We do not deliberately make it difficult for clients to move their website elsewhere.

On request, we can normally provide a suitable website backup, such as an UpdraftPlus backup for a WordPress website, for use by the client’s new hosting provider.

Alternatively, SEEDO can assist with migration to another provider. Migration, configuration and other work involved in moving services is not included with standard hosting and may be chargeable.

Where we also manage domains or email services, we will discuss the practical steps required to transfer those services.

11. Client Responsibilities

The client is responsible for ensuring that content they provide or publish through their website is lawful and that they have the necessary rights or permissions to use it.

Clients must take reasonable care of passwords and other access credentials supplied to them.

A client should contact us before making significant technical changes to a website we manage where those changes could affect its operation, security or hosting requirements.

If a website causes significant technical problems, excessive resource usage, security risks, spam, unlawful activity or other problems affecting our systems or other customers, we will normally contact the client to discuss the issue.

Where the problem is serious or the client does not respond within a reasonable period, we reserve the right to temporarily suspend the affected service where reasonably necessary to protect our systems, other customers or third parties.

12. Third-Party Services

Website hosting depends on a number of third-party services and infrastructure providers, including data centres, networks, domain registries, certificate providers and software developers.

We are not responsible for failures or interruptions caused by third parties which are outside our reasonable control, but where such a problem affects a service we provide, we will take reasonable steps to investigate and restore normal service.

13. Liability

We will provide our services with reasonable care and skill.

We are not responsible for losses caused by matters outside our reasonable control, or by changes, actions or omissions of the client or third parties who have been given access to the website or related services.

Nothing in these terms excludes or limits liability where doing so would be unlawful.

14. Changes to These Terms

We may update these terms from time to time to reflect changes to our services, technology, suppliers or legal requirements.

Where a change materially affects an existing hosting service, we will take reasonable steps to notify the client.

The terms applying to a hosting period will normally be those made available to the client when that hosting period is purchased or renewed.
